To setup an Auto Reply message (Internet bound reply) for Exchange 5.5 with Service pack 3 or service Pack 4 use the Out of office wizard. Select the option for reply with Template, Make sure that you check the Do not process Subsequent rules, otherwise the auto reply will send out to messages 1 the template reply and the other with the out of office message.
